Terms and Conditions

Website, platform use and notifications

LiveSOP is an enterprise software platform provided by Compass Island, LLC, a South Carolina limited liability company (Compass Island, we, us). These Terms describe the basic rules for using our website and platform and the terms of our notification program. LiveSOP is provided to organizations for use by their authorized users. By accessing livesop.com, using an interactive walkthrough or demonstration, or using the platform, you agree to these Terms. If you use the platform on behalf of a customer organization, that organization’s Enterprise Agreement also governs your use as described in Section 1.

Effective October 27, 2026

1. Your enterprise agreement controls

An organization’s subscription and purchased services are governed by its separately executed agreement with Compass Island, including any master subscription, pilot, evaluation or trial agreement, and applicable order forms, statements of work, data-processing terms and service schedules (Enterprise Agreement). Pricing, payment, monthly or annual billing, renewal, cancellation, usage charges, service levels, support commitments, retention, data return and deletion, warranties, indemnities, liability and dispute resolution are determined in that Enterprise Agreement.

These public Terms do not replace or amend an Enterprise Agreement. If there is a conflict, the Enterprise Agreement controls the relationship between Compass Island and the customer organization. Nothing in an Enterprise Agreement permits messaging that violates applicable law or communications-provider requirements, or removes an individual’s applicable privacy or opt-out rights. Receiving a message or accepting an invitation does not make an individual responsible for the organization’s subscription fees or other commercial obligations.

2. Authorized use and customer administration

You may access the platform only as authorized by your organization and within the permissions provided to you. Protect your credentials, use your own authorized account, and promptly report suspected unauthorized access. Do not access another person’s or organization’s information without permission, misrepresent your identity, introduce malicious content, interfere with the service, or bypass access or messaging controls.

Customer organizations are responsible for administering their users, permissions, invitations and configured workflows, maintaining accurate contact information, and ensuring that they have authority to provide and use information through LiveSOP. Users must have permission to upload or share procedures, attachments and other content and must comply with applicable law.

As between the customer organization and Compass Island, the organization is responsible for the lawfulness and accuracy of its supplied information and instructions, its selection of recipients and authorized recipients of data, its operational procedures, and the actions of its authorized users within the authority it grants. Customer-requested configuration assistance or technical support does not transfer responsibility for the customer’s operational decisions or constitute legal approval of its use case.

Compass Island and its licensors own the platform, website, walkthroughs, documentation and supplied materials, including all intellectual property rights. You receive only the limited access described in these Terms or in the Enterprise Agreement, and you may not copy, modify, reverse engineer, scrape or resell them. Customer ownership of customer information and our permitted processing of it are governed by the Enterprise Agreement. Public demonstrations and walkthroughs are for evaluation only; do not submit real-world operational or sensitive information to them, and we may delete demonstration data at any time.

3. Operational responsibility

LiveSOP supplies software for coordinating procedures, missions, tasks, information and communications. Customer organizations supply their own operations personnel, monitoring, decisions and response. Compass Island does not provide emergency monitoring, dispatch, security staffing, medical care, evacuation or rescue through the software subscription.

The customer organization remains responsible for validating and approving its procedures, automation rules and consequential uses of outputs, staffing its operations, reviewing incoming information and deciding whether and how to respond. Providing the software does not transfer the organization’s employer, supervisory or duty-of-care responsibilities to Compass Island or make Compass Island the organization’s operational decision-maker.

The platform and its messages are not a substitute for local emergency services or the organization’s emergency procedures. Do not assume that submitting information or replying to a notification means someone has reviewed it or that help has been dispatched. Organizations must maintain appropriate independent communication and continuity arrangements for urgent operations.

Message delivery, an email open or a link click does not establish that a person accepted, completed or verified a task. Status, location, external information and confidence indicators depend on available data and may be incomplete, delayed or inaccurate. Users must exercise appropriate judgment and follow their organization’s approval procedures.

4. AI, location and connected services

AI features, where enabled, may assist with drafting procedures, summarizing information or recommending actions. AI output can be inaccurate or incomplete and must be reviewed by an appropriately authorized person before consequential operational use. AI processing and provider arrangements are subject to the applicable Enterprise Agreement and disclosures for the enabled service.

Location features operate according to the deployment’s configuration and user controls. Organizations are responsible for lawful monitoring practices and required notices and permissions. Consent to SMS is separate from permission for location tracking. Location data is not a guarantee of a person’s precise position or safety.

Attachments and connected systems may contain sensitive information. Share only with authorized recipients and use the authenticated platform for sensitive operational details rather than SMS or ordinary email. Customer-selected integrations and third-party services may have their own terms and privacy notices.

Before initiating a text through LiveSOP, the customer organization must obtain and document the recipient’s prior express consent to receive LiveSOP notifications, in writing where applicable law or communications-provider requirements call for written consent, and must satisfy applicable law and communications-provider requirements. The consent disclosure must identify the LiveSOP notification program and the relevant organization and include message purposes, frequency, rate notices, opt-out instructions and links to these Terms and the Privacy Policy.

The organization must keep evidence of consent, including the number, disclosure, date, method and scope, and provide it to Compass Island on request. It must promptly communicate withdrawals and changes to recipient information. Consent may be obtained through an in-platform opt-in where available, or through the organization’s own documented enrollment process.

Whenever the organization initiates a notification, including through an automation it enables, it represents that its instructions and recipient selection are authorized, required consent is in place and no known withdrawal prohibits the message. Compass Island may request supporting records and restrict messaging if compliance cannot be demonstrated. Technical acceptance of a request does not certify its legal compliance. Use of the LiveSOP name or sending number does not relieve the organization of these responsibilities or change the actual sender disclosures required for the program.

Adding a person to a roster or agreeing to an enterprise contract does not by itself establish the recipient’s consent; the recipient must have agreed to receive LiveSOP texts. This applies to the first invitation text as well as later notifications. The organization must not initiate SMS without qualifying consent or attempt to bypass an opt-out, and must not reuse consent given to another sender or for an unrelated purpose.

Messages must comply with applicable law and the relevant Twilio Messaging Policy and Twilio SendGrid Email Policy. LiveSOP’s notification program is for organizational service communications, not advertising or unsolicited prospecting. Customer organizations are responsible for the content and lawful recipient selection of messages they initiate.

6. LiveSOP SMS notification program

Program and sender. LiveSOP Notifications is operated by Compass Island, LLC. Messages identify LiveSOP and relate to activity within the recipient’s organization. The program currently supports United States recipients.

Purpose and frequency. Notifications may tell you that your organization has invited or added you to a workspace or mission, requested your input, or generated a related work update. Messages may be sent automatically. Message frequency varies with organizational activity and your enrollment. This program does not send marketing messages.

Enrollment. Your organization must obtain your prior express consent to the program before initiating texts, in writing where applicable law or communications-provider requirements call for written consent. Enrollment may occur through an organization-provided form or another documented written consent process. Providing a phone number or being added to the platform alone does not enroll you. During early access, enrollment occurs through the LiveSOP in-platform opt-in. SMS is optional; ask your organization about alternative ways to receive work notifications or access LiveSOP.

Charges. Message and data rates may apply under your wireless plan. Questions about your mobile charges should be directed to your wireless provider. Platform and messaging charges payable by your organization are governed by its Enterprise Agreement and order form.

Opting out. Reply STOP (or QUIT, END, REVOKE, OPT OUT, CANCEL or UNSUBSCRIBE) to the number that sent the message to stop notifications from that sender. You may also request withdrawal by emailing privacy@compassisland.co. After opting out, you may receive one nonpromotional confirmation. Opt-outs are processed promptly and within the time required by law. No further program texts will be sent unless you provide new valid consent and complete any required re-enrollment process. Because the program uses shared sending infrastructure, an opt-out may also stop LiveSOP notifications associated with other organizations using the same sender or messaging service. Your organization cannot override your opt-out.

Help. Reply HELP for program assistance or email privacy@compassisland.co. Standard support hours are Monday through Friday, 9:00 a.m. to 5:00 p.m. Eastern Time. Different or additional customer support commitments are governed by the applicable Enterprise Agreement. These support channels are not emergency-response services.

Delivery and replies. Delivery is not guaranteed and may be delayed, filtered or unavailable. Carriers are not liable for delayed or undelivered messages. Replies, where supported, are handled according to the organization’s configured workflow; customer operational personnel are responsible for reviewing and acting on them. Do not assume continuous monitoring. Keep your number current with your organization and report a message intended for someone else.

Privacy. See our Privacy Policy at https://livesop.com/privacy for information about personal data and messaging. SMS messages may be visible on shared devices or lock screens. Do not include sensitive operational information in ordinary text messages; use the platform and your organization’s designated channels.

7. Email notifications

LiveSOP uses email, including Twilio SendGrid, to deliver organizational service notifications. The organization must have authority to contact each recipient and must accurately describe the message’s purpose. It must not use service messages to disguise advertising or send to purchased or scraped lists. Compass Island’s own business communications with prospective and existing customers are separate from the notification program and are governed by applicable law, including the CAN-SPAM Act; they identify the sender and include a way to opt out.

Where available, use notification preferences or contact your organization about routine email notifications. Required account, security or contractual notices may still be sent where lawful. Requests to stop Compass Island business communications will be honored.

8. Privacy and customer records

Our Privacy Policy explains our handling of personal information. Customer organizations determine how their operational records are used and who may access them, subject to applicable law and the Enterprise Agreement. Contact your organization about its records and workplace monitoring practices; contact privacy@compassisland.co about Compass Island’s processing or to request assistance directing a privacy inquiry.

The applicable Enterprise Agreement governs deployment location, operational-data retention, export and deletion. These public Terms do not establish a universal retention period or independently expand our rights to use customer information.

9. Non-contracted use, disclaimers and governing law

This section applies to the website, interactive walkthroughs, demonstrations and any other use of LiveSOP that is not covered by an Enterprise Agreement. Where an Enterprise Agreement applies, its warranty, liability and dispute-resolution terms govern instead.

The website, walkthroughs, demonstrations and notification program are provided as is and as available, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement and uninterrupted or error-free operation.

To the maximum extent permitted by law, Compass Island and its members, officers, employees and suppliers are not liable for indirect, incidental, consequential, special or punitive damages, or for lost profits, data or business, arising from non-contracted use, and Compass Island’s total liability for non-contracted use will not exceed one hundred US dollars. Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you.

These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law rules. Disputes arising from non-contracted use will be brought exclusively in the state or federal courts located in Richland County, South Carolina, and you consent to their jurisdiction. These Terms do not create rights for third parties. If a provision is unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver.

10. Service restrictions and updates

We may restrict website access or messaging as reasonably necessary to address unlawful activity, security threats, abuse, missing consent or communications-provider requirements. Any restriction of contracted services remains subject to the Enterprise Agreement and applicable law. Nothing here limits obligations and remedies expressly agreed in an Enterprise Agreement or imposed by nonwaivable law.

We may update these public Terms and will identify the revised date. Material changes to the messaging program will be communicated as required, and new consent will be obtained where necessary. An online update does not amend an executed Enterprise Agreement or retroactively expand an existing messaging consent.
